Polskie Elektrownie Jądrowe sp. z o.o. (hereinafter: PEJ or the Contracting Authority) is responsible for preparing and implementing the investment process for the construction of the Poland’s first nuclear power plant (NPP1). The planned facility will have the total capacity of up to 3750 Mwe and will be located in the municipality of Choczewo at the Lubiatowo-Kopalino site (hereinafter: Project).
As PEJ intends to enter the next phase of the investment process preparation including obtaining external financing, it is very likely that additional support will be required in the area of legal advisory. PEJ assumes that the external financing will be extended by multiple finance institutions (ca. thirty entities), in particular by: export credit agencies (jointly as the “ECAs”), commercial banks of various jurisdictions (jointly as the “Banks”), development financial institutions (jointly as the “DFIs”), and multilateral financial institutions (jointly as the “MFIs” and jointly with the ECAs, Banks and DFIs as the “Financing Parties”). PEJ assumes that the Financing Parties will require certain collaterals (apart from the state treasury guarantee) for the purpose of securing the repayment of receivables under respective Transaction Documents (as defined below). The process of negotiating, drafting, executing the Transaction Documents as well as collecting documents necessary for the first drawdown of the facility under respective Transaction Documents is referred to as the “Transaction”. The planned date for the closing of the financing (e.g. fulfillment of necessary conditions precedent for first disbursement of a loan) is expected to be in Q4 2028.
Therefore, we proceed with this Request for Information (RFI) intended to explore the market for legal advisory services related to the financing process of large-scale nuclear power plant.
The purpose of this RFI is for PEJ to obtain general information related to potential legal advisory services providers (the “Contractor”) being able to provide PEJ with the legal advisory services within the areas indicated in “The scope of services” section below as well as information related to possible level of remuneration for providing such services. It is envisaged that the Contractor may perform its services as a sole contractor or in a form of consortium, jointly with another entity (the ”Consortium Member”). The purpose of the Request for Information is, in particular:
1) collecting qualitative and quantitative data on potential Contractors and the scope of their potential offers;
2) collecting data enabling a decision to be made on the appropriate type of procedures for the future tender;
3) obtaining other information necessary to prepare the future procedure for the award of a Contract;
4) informing Contractors about plans for the contract.
The Contracting Authority is entitled to extend or reduce the scope of the RFI in its sole discretion, provided that, in its sole judgment, this will allow it to obtain all relevant information necessary for the preparation of the tender procedure.
