This notice is to be construed as a Contract Modification Notice within the meaning of Directive 2014/25/EU (the “Utilities Directive”), and all obligations, requirements, rights and procedures under the Utilities Directive applicable to modifications of a contract during its term shall apply to this notice in full including, but not limited to, Article 89 and Annex XVI. For the avoidance of doubt, this notice shall not have the effect of a Voluntary Ex Ante Notice under the Remedies Directives (Directive 92/13/EEC, as amended by Directive 2007/66/EC), and should not be relied upon as such. Description of the modifications: Nature and extent of the modifications (with indication of possible earlier changes to the contract): Renewal of licencing for IT Service Management system and customer Query Management Systems with SysAid Technologies Ltd in order to ensure continuity of support for these critical services, until the completion of a competitive tender process for such services. Reasons for modification: EirGrid plc are contracted with SysAid Technologies Ltd (SysAid) for the provision of an IT Service Management system (ITSM) for day-to-day IT operations, and a customer Query Management System (QMS) following rollout of the I-SEM. SysAid’s services were originally procured via the ENQEIR383 tender. In order to meet evolving complex business requirements, SysAid’s service offering was deeply integrated into EirGrid’s operational processes. Swift transition to a different supplier would have posed significant technical and operational challenges, and potential service disruption and downtime for critical IT and market operations services. Therefore, SysAid licencing for such services have been renewed on an ongoing basis to date. Uplifts totaling 287,027.32 EUR have been necessary to ensure ongoing critical support since the relevant OJEU threshold in August 2022. EirGrid has launched a competitive tender ENQEIR874 for ITSM services, which is at an advanced stage. Prior to completion of this tender process, support from SysAid for the ITSM and QMS services must be maintained in order to ensure continuity of these critical services. SysAid are the only supplier in a position to provide such support on account of their extensive knowledge of, and experience with, their ITSM and QMS proprietary systems. Therefore, the uplift referenced in this notice was necessary to ensure continuation of critical support and maintenance of the existing ITSM and QMS systems until completion of the ENQEIR874 tender and implementation of new IT system for such services. Value of uplift excluding VAT: 200,000 EUR
